Terms of Service

By using GNDLF Ctrl-Cost you agree to the terms below.

1. Parties & Scope

These Terms of Service ("Terms") are between Cloud Solutions for Business Sweden AB, a company established in Sweden (Box 4004, 169 04 Solna, Stockholm, Sweden; VAT no: SE559056482801) ("GNDLF", "we"), and the individual or entity using the GNDLF Ctrl-Cost service ("Service") — you ("Customer"). GNDLF maintains only a representative office in Türkiye.

By accessing, creating an account for, or using the Service you accept these Terms and the referenced Privacy Policy. If you do not agree, do not use the Service.

2. The Service

GNDLF Ctrl-Cost is an SAP License Intelligence platform. It classifies users by real usage, reports over/under-licensing, and supports audit readiness.

The Service is read-only: it never writes to or changes any SAP system. Outputs are advisory inputs and must be verified against your signed SAP contract before any final licensing/financial decision. The Service is not a substitute for legal, financial, or license-compliance advice.

The Service may be offered in a cloud (hosted by us) or on-premises (your own server) model; scope is set by the order/quote.

3. Account, Access & Security

You must provide accurate, current information. You are responsible for keeping your credentials confidential and for all activity under your account.

Report any suspected unauthorized access to info@gndlf.io promptly. For organization accounts, you are responsible for ensuring the users you invite comply with these Terms.

4. Acceptable Use

You will use the Service only in compliance with applicable law and these Terms, and only for SAP environments you are authorized to assess. You upload only data you are authorized to process.

You may not: (a) reverse-engineer, decompile, or copy the Service without authorization; (b) attempt to bypass security controls; (c) resell or sublicense the Service without separate written permission; (d) impair the infrastructure with excessive/automated requests; or (e) use it for unlawful or infringing purposes.

5. Fees, Subscription & Trial

Fees are stated in the order form, quote, or pricing page. Unless stated otherwise, fees are exclusive of taxes, which are your responsibility.

A free trial or first analysis may be offered; access may be limited if you do not move to a paid plan. Subscriptions renew at the end of each term unless cancelled. Except where required by law, paid fees are non-refundable.

6. Intellectual Property

The Service, software, interfaces, models, and documentation and all related IP belong to GNDLF or its licensors. These Terms grant you only a limited, non-transferable, non-exclusive license to use the Service; no other rights are transferred.

"GNDLF", "Ctrl-Cost" and related logos belong to GNDLF. SAP, ECC and S/4HANA are trademarks of SAP SE; GNDLF is not affiliated with or endorsed by SAP SE.

7. Customer Data

You own the data you upload (SAP exports, contract text, etc.) and the results derived from it. We process this data only to provide, operate, and improve the Service, as described in the Privacy Policy.

You represent that you have all rights and permissions needed for the data you upload (including any personal data of individuals). Where personal data is processed, the parties may enter into a separate Data Processing Agreement (DPA).

8. Availability

We use commercially reasonable efforts to keep the Service available but do not guarantee uninterrupted access. Temporary outages may occur due to maintenance, updates, or unforeseen events.

A specific service level (SLA) applies only to the extent agreed in a separate written contract.

9. Warranty Disclaimer & Limitation of Liability

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all express or implied warranties (including fitness for a particular purpose, uninterrupted or error-free operation). Analysis outputs are estimates/advisory and you are responsible for decisions made in reliance on them.

To the maximum extent permitted by law, GNDLF is not liable for indirect, incidental, special, or consequential damages (including lost profits, lost data, or SAP audit outcomes). GNDLF's total liability is limited to the fees you paid in the twelve months before the claim arose.

10. Indemnity

You agree to indemnify GNDLF against claims and damages arising from your use of the Service in breach of these Terms, your lack of rights in uploaded data, or your infringement of third-party rights.

11. Term & Termination

These Terms apply while you use the Service. GNDLF may suspend or terminate access if you materially breach them. After termination, your data is deleted or returned within a reasonable period, subject to legal retention obligations.

12. Changes

We may update these Terms from time to time. We will notify you of material changes by reasonable means; continued use after a change means you accept the updated Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of Sweden and the courts of Stockholm have jurisdiction. If you are a consumer, you keep the protection of the mandatory consumer rules and courts of your country of residence.
